Terms of Service

1. Acceptance of Terms

By accessing or using Adsu ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Adsu.

2. Description of Service

Adsu is a closed-loop ad attribution platform for gyms that connects Meta ad spend to point-of-sale revenue via GoHighLevel CRM. The Service consists of:

  • Web dashboard — a web application for viewing attribution data, analytics, and managing integrations.
  • Chrome extension — a browser extension for managing GoHighLevel contacts and viewing attribution data in context.
  • Tracking script (t.js) — a JavaScript snippet installed on your gym's website to capture visitor interactions for attribution.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your account credentials and not share them with others.
  • Notify us immediately of any unauthorized use of your account.
  • Maintain only one account per individual. Duplicate accounts may be terminated.

You are responsible for all activity that occurs under your account.

4. Subscription & Billing

  • Adsu offers paid subscription plans billed through Stripe. By subscribing, you authorize us to charge the payment method on file.
  • Access to the platform requires an active paid subscription. Subscriptions begin after onboarding is complete.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods.
  • Refunds are provided at our sole discretion. If you believe you are entitled to a refund, contact us at support@adsu.io.
  • We reserve the right to change pricing with 30 days' notice before the next billing cycle.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service.
  • Circumvent, disable, or interfere with any security features of the Service.
  • Access the Service through automated means (bots, scrapers) at a rate that degrades the experience for other users.
  • Use the Service to send spam, phishing, or other unsolicited communications.
  • Resell, sublicense, or redistribute access to the Service without our written consent.

6. Your Data

You retain all ownership rights to the data you submit to or generate through the Service ("Your Data"). We process Your Data in accordance with our Privacy Policy.

By using the Service, you grant Adsu a limited, non-exclusive, worldwide license to use, process, and store Your Data solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete Your Data or close your account.

7. Third-Party Integrations

The Service integrates with third-party platforms including Meta (Facebook/Instagram Ads), GoHighLevel, and Stripe. You acknowledge that:

  • You are responsible for complying with the terms of service of each third-party platform you connect.
  • Adsu is not responsible for the availability, accuracy, or performance of third-party APIs or services.
  • Third-party platforms may change their APIs, terms, or data access policies at any time, which may affect the functionality of the Service.
  • You must have the necessary permissions and authorizations to connect your third-party accounts to Adsu.

8. Intellectual Property

The Service, including its design, code, algorithms, branding, and documentation, is the intellectual property of Adsu and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Adsu does not guarantee the availability or uptime of Meta, GoHighLevel, or Stripe APIs. Changes to these platforms may temporarily or permanently affect the functionality of the Service. Attribution data is provided for informational purposes and should not be relied upon as the sole basis for business decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSU'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ADSU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL ADSU BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Adsu and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate this agreement at any time. You may terminate by closing your account. We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms.

Upon termination, your right to use the Service ceases immediately. You may request deletion of Your Data by contacting us at support@adsu.io. We will delete Your Data within 30 days of a verified request, unless retention is required by law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you via email or through the Service. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
